4. Age and Authority Requirements

By engaging our services, you represent and warrant that:

  • You are at least 18 years of age and legally competent to enter contracts
  • You have legal authority to bind your business entity to these terms

  • Your business is properly registered and authorized to operate

Client Responsibilities and Indemnification

Indemnification Obligations

Clients agree to indemnify and hold harmless LedgerPro from any claims, damages, or legal actions arising from:

  • Client's business operations or decisions made independently

Third-Party Interactions

Clients remain solely responsible for their relationships with customers, suppliers, employees, and regulatory authorities. Our services are advisory and supportive in nature and do not create any direct relationships between LedgerPro and third parties.

Liability Limitations and Warranty Disclaimers

5. Disclaimer of Warranties

While we strive for accuracy and professionalism, our services are provided "as is" without warranties of any kind, express or implied. We specifically disclaim:

  • Guarantees of specific business outcomes or financial results

6. Limitation of Liability

To the maximum extent permitted by Cyprus law, LedgerPro's total liability for any claims shall not exceed the amount paid for services in the twelve months preceding the claim. We shall not be liable for:

7. Force Majeure Provisions

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, government actions, labor disputes, technical failures, or other unforeseeable events. Services will resume as soon as reasonably possible after such events conclude.

Governing Law

These terms are governed by the laws of the Republic of Cyprus. Any legal proceedings must be conducted in Cyprus courts with jurisdiction over commercial disputes.

Dispute Resolution

Disputes should first be addressed through direct negotiation. If unresolved, matters may proceed to mediation or arbitration as provided by Cyprus commercial law.

Severability Clause
